Effective Date: February 23, 2026.
This Data Processing Addendum forms part of the agreement between Annotiq and Client.
“Personal Data” means any information relating to an identified or identifiable individual. “Controller” means the entity determining purposes and means of processing. “Processor” means the entity processing data on behalf of the Controller.
Client acts as Data Controller. Annotiq acts as Data Processor. Annotiq processes data only under documented instructions from Client.
Annotiq processes personal data solely to provide annotation, data processing, and consulting services.
Annotiq implements appropriate technical and organizational safeguards including access controls, encryption, authentication, and audit logging.
Annotiq may engage subprocessors including Labelbox, cloud providers, and contractors. Annotiq ensures subprocessors are bound by confidentiality and security obligations.
Annotiq shall assist Client in responding to requests from data subjects exercising their rights under applicable laws.
Annotiq shall notify Client without undue delay upon becoming aware of a confirmed data breach affecting Client data.
Annotiq shall delete or return Client data upon termination of services or upon Client request, subject to retention obligations.
Annotiq may transfer data internationally subject to appropriate safeguards.
Annotiq’s liability under this DPA shall be limited to fees paid in the preceding 12 months.
This DPA shall be governed by Delaware law.
